I don't think there's anything surprising in Darroch's remarks there. The media landscape looks very different today compared to the 1990s. A rolling news channel is rather less "important" now, given people can grab snippets of news when and how they want it online (websites/social media, whether on their desktop PC or various mobile devices).
As I think I've said before, if Sky News -- as a TV news channel -- did not exist today, I doubt Sky would be contemplating setting it up. That doesn't mean though that it's irrelevant and that Sky will or should shut it down. Merely that the balance of benefits to costs has changed over time, and that -- from a commercial perspective -- the case for owning/operating a news channel is less compelling than in the past.
Whether or not it's a "tactic" in dealing with regulators is almost a moot point. Regardless of any merger, we're talking about a company that has to take shareholders' interests into account. Sky News costs them money; the question is, do they get sufficient benefit to justify that cost? The judgement to date has been, yes, it's more than worth the expense. But there's no guarantee that will still be the case 1 year, 2 years, 5 years from now.
