Full details in the Media Guardian article - the only thing of note really is the contract can be broken if a change of ownership at ITN affects the quality of the output (i.e. if ITV buy out ITN)
As I've said before though they wouldn't want it branded as an ITV News production, C4 take a number of programmes from ITV (including Countdown) - and I personally don't see why having ITV News as a producer would be any worse than having Sky News. I'd imagine like ITV Productions are branded Granada except on ITV, the ITN name would remain as producer of non-ITV content - if not ITV News itself.

Channel 4 News will hire more than 20 new staff and open a bureau in Beijing as part of a five-year deal signed with producer ITN.
Jon Snow, the Channel 4 News anchor, is tied to the programme for the duration of the new deal, up to 2010.
The deal will also see Channel 4 News launching a range of new multimedia services, including an interactive website and four 90-second mobile phone TV news updates a day.
New journalists will be recruited in Africa, the Middle East and far east, including a foreign affairs specialist. A new state-of-the-art newsroom will also be built at ITN's London headquarters.
